1) Acceptance of Terms

By using this website, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy and Cookie Policy referenced below. If you do not agree, you must not use the site. You must be at least 16 years old to use the site. If you are between 16 and the age of majority in your province or territory, you confirm that a parent or legal guardian has reviewed and agrees to these terms on your behalf. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Dataplexy provides informational content including guides, checklists, and tips related to digital tools, productivity practices, and general technology literacy. The site is an educational resource only. We do not provide professional, financial, medical, legal, or other regulated advice, and we do not offer customer support for any third-party products mentioned. Content may reference third-party tools for illustration. Inclusion does not imply endorsement, affiliation, or sponsorship. Availability of the site, specific articles, and features may change without notice. We reserve the right to modify, suspend, or discontinue any part of the site at any time.

3) User Obligations

You agree to use the site lawfully and responsibly. You will not: (a) access or use the site in a way that violates any applicable law in Canada or your local jurisdiction; (b) attempt to copy, scrape, index, or collect content or data from the site by automated means not explicitly allowed; (c) reverse engineer, decompile, or attempt to derive the source code of any software used to provide the site; (d) impersonate any person or entity or misrepresent your affiliation; (e) introduce malware, ransomware, or any harmful code; (f) interfere with or disrupt the operation or security of the site; (g) bypass access controls, rate limits, or security measures; (h) misuse any contact forms by sending spam, unlawful, or abusive messages; or (i) create more than one account per person if any account features are introduced in the future.

Subject to your compliance with these terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to access and use the site for personal, non-commercial purposes. You may not reproduce, distribute, publicly display, or create derivative works from our content without prior written permission, except as permitted by fair dealing or other applicable exceptions under Canadian law. 5) Prohibited Activities

To the maximum extent permitted by law, Dataplexy Inc., its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of or inability to use the site, even if we have been advised of the possibility of such damages. Our aggregate liability for any claim related to the site will not exceed the greater of: (a) the total amount you paid to us, if any, for access to the site in the 12 months before the event giving rise to the claim; or (b) 100 CAD. Some jurisdictions do not allow certain limitations of liability; in such cases, the limitations will apply to the fullest extent permitted.

8) Indemnification

You agree to indemnify, defend, and hold harmless Dataplexy Inc. and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way related to: (a) your access to or use of the site; (b) your breach of these terms; or (c) your violation of any law or the rights of a third party. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defence of these claims.

We do not control and are not responsible for the content, policies, or practices of third-party sites. Your interactions with third parties are solely between you and those third parties. Your use of the site is also governed by our Privacy Policy, which explains what data we collect, how we use it, and the choices you have, and by our Cookie Policy. Those policies are incorporated by reference into these terms. By using the site, you consent to the processing of information in accordance with those policies.

11) Governing Law and Jurisdiction

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction and venue of the courts located in Toronto, Ontario, for any disputes that are not subject to the dispute resolution provision below. You and Dataplexy Inc. each waive any objection to jurisdiction and venue in those courts, including any objection based on forum non conveniens.

12) Dispute Resolution

Before starting any formal action, you agree to contact us at the address below and provide a written description of the dispute, including relevant documents and your proposed resolution. The parties will attempt in good faith to resolve the dispute informally for at least 30 days from the date we receive your notice. If the dispute is not resolved within that period, either party may bring an action in the courts specified in the Governing Law and Jurisdiction section. Nothing in this section prevents either party from seeking interim or injunctive relief to protect its rights or confidential information.

13) Termination

We may suspend or terminate your access to the site, in whole or in part, with or without notice, if we believe you have violated these terms, engaged in fraudulent or illegal activity, or created risk or possible legal exposure for Dataplexy Inc. Upon termination, the rights and licences granted to you will end. Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and Miscellaneous.

14) Modifications to Terms

We may update these terms from time to time. Changes take effect 14 days after posting the revised version on this page unless a shorter period is required to address a legal or security matter. Material changes will be communicated by a notice on our homepage during the notice period. Your continued use of the site after changes become effective means you accept the updated terms. If you do not agree, you must stop using the site.

Miscellaneous

You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations to an affiliate or in connection with a merger, acquisition, or sale of assets. These terms constitute the entire agreement between you and Dataplexy Inc. with respect to the site, superseding any prior or contemporaneous understandings.
